Sui Xiaojiao

Introduction

Sui Xiaojiao possesses an international perspective in her professional and educational background. She earned her bachelor’s degree from Renmin University of China and master’s degree from Chinese University of Hong Kong. She is a partner at DeHeng Law Offices and the deputy director of the corporate securities committee as well as the civil and commercial affairs committee at the firm’s Shenzhen office. She is recognised as a next generation international lawyer in Shenzhen.

For 10 years, Sui has been deeply involved in legal services for domestic and overseas IPOs, M&A transactions, investment and financing, corporate governance and regulatory compliance, commercial dispute resolution, etc.

With her legal expertise and extensive experience, Sui is adept at balancing law and the realisation of clients’ commercial interests. Relying on her outstanding project execution and co-ordination abilities, she has acted as a PRC legal counsel for dozens of influential domestic and overseas IPOs and M&A transactions including the Hong KongIPO of Country Garden Services, Smoore International, Ming Yuan Cloud; the A-share IPOs of AFR, SGCircuits, 3onedata and CHK; and the major asset restructuring project for Seastar, its acquisition of Winchannel Software and Easy Connection shares, AFR’s acquisition of the controlling rights of B&A Technology, Guoyue Group’s acquisition of an urban commercial bank’s shares, and Zhuhai Huafa Group acquiring controlling rights of AFR.

Sui’s legal service achievements also include non-public offerings of stocks and public offerings of convertible bonds by listed companies such as AFR, Leadyo IC, East and several fund investments, pre-IPO equity incentives and financing as well as related exit disputes, and several listings on the New Third Board market. Sui also provides long-term annual legal services for dozens of A-share and Hong Kong listed companies covering communication networks, industrial automation, consumer electronics, integrated circuits, printed circuit boards, software development services, medical devices and other industries.

The Hong Kong IPO of Smoore International, in which Sui acted as the PRC legal adviser and lead counsel, was awarded as an outstanding transaction by China Business Law Journal, IFLR1000 and Asian Legal Business in 2021.
